Fees and Payment

  • Late Payment: Late payments may incur interest charges
  • Expenses: Reasonable expenses may be charged in addition to fees

Confidentiality

We maintain strict confidentiality regarding client information:

  • Information is not disclosed without client consent (except as required by law)
  • Confidentiality obligations survive termination of the engagement

Intellectual Property

Client Materials

Deliverables

  • We are not liable for indirect, consequential, or punitive damages
  • Our total liability is limited to the fees paid for the specific engagement

Note: Nothing in these terms limits liability for fraud, fraudulent misrepresentation, or matters that cannot be limited by law.

Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information
  • Timely payment of fees
  • Making their own business decisions
  • Implementing recommendations appropriately
  • Complying with applicable laws and regulations

Termination

By Either Party

Either party may terminate an engagement with written notice as specified in the service agreement, typically:

  • 14-30 days' notice for ongoing engagements
  • Immediate termination for material breach
  • Payment for work completed up to termination date

Effect of Termination

Upon termination:

  • All outstanding fees become immediately due
  • Confidentiality obligations continue
  • We will return or destroy client materials as requested
  • We provide work completed to date
